Lately the registration of the company became complicated, troublesome, time-consuming and costly procedure, especially if it relates to the registration of the owner who is a foreign individual or entity.

In this regard, we recommend to our clients to take advantage of the possibility of buying an already registered company in Slovakia.

Re-registration of the registered company requires the client to provide the following documents:
  • foreign passport
  • valid Schengen visa
  • copies of the pages with the records of the internal passport
  • certificate of good conduct

The cost of a registered company in Slovakia is 2,500 euros.

Re-registration of companies in Slovakia, as mentioned above, requires a certificate of good conduct and copies of pages of internal passport. These documents must be translated into the Slovak language and affixed with apostil at the Embassy of Slovakia in the place of residence. Also, these documents can be translated by the State Translation Bureau in Slovakia. To do this, the new owner of the company will be required to transmit the original certificate of good conduct and notarized copy of pages of internal passport via DHL to our office in Bratislava. Translation of these documents will be ready, after receiving, during 5 working days.

Re-registration of the company requires personal presence at the notary in Bratislava. It is also possible with the help of authorized person, what does not require the personal travel of new owner for re-registration of the company.

After re-registration of the company, during three weeks, will be ready the new constituent documents of the company and the new owner of the company will also have to open a bank account of the company with a personal presence. It is also possible to open a bank account using authorized person that does not require a personal travel for re-registration for the new owner of the company.

According to Slovak law, solely one subject who opened the account, and signed the bank contracts, has the ability to manage a bank account. In this regard, for complete control over future assets and liabilities of the company we recommend our clients to come in person to open a bank account.

FUNDS TO A BANK ACCOUNT CAN BE CREDITED:

  • as an increase in the share capital, or the redemption of the share capital by the new founder of the company, or by the trustees of the new founder of the company, or another company that is owned by the founder of the new company. This point depends on the name of the new company founder who will credit the funds to a bank account.
  • It is also possible crediting of funds to a bank account in the form of repurchase equity in the company, which can be described by the Agreement of the buyout equity, and on the basis of the same Agreement, can be stretched in time by a period of time until the end of the financial year (1 of July of the following year). Throughout this period of time, these funds can be used only for the purposes of the company. With these funds the new founder of the company can buy real estate, vehicles, pay salaries to employees (for example, you can issue the close relatives as the company’s employees, and to enlist their salaries to the bank account of an individual open in any other country), or interest dividends the company’s founders.
  • Also, transfer of funds can be issued as credit tranches, in such a case, the spectrum of the use of these funds will be wider. In all these cases, credited funds are not taxed.

ANNUAL COSTS RELATED TO A REGISTERED COMPANY:

  • Registration address of the company – 700 euro / year.
  • Annual maintenance of the company (accounting and legal services) – 300 euro / year.
  • A one-time annual tax – 490 euro.
